Default Why Costa Linda Needs An Extraordinary Meeting

WHY HAVE AN EXTRAORDINARY MEETING?

We must restore Costa Linda to its original condition and standing as the best timeshare resort in Aruba, and the Extraordinary Members Meeting (EOMM) is the only option available to us in order to achieve that goal. Since the Aruban courts invalidated our first request for an EOMM, we must request a second EOMM. This meeting will allow us to:

Remove and replace the three (3) Arubans with three (3) new Arubans who are willing to work with us, not against us.
Approve the 2007/2008 Budget.
Conclude the Forensic Audit in a timely manner.
Approve hiring a management consultant to recommend improvement in management services through changes in personnel, programs, procedures and/or policies.
Receive Government approval of our submitted Articles and By-Laws, which will allow us to restore the nine (9) member Board.

By following the above steps, we will be well on our way to achieving our goals. You are all aware that the present Board majority is held by three (3) Arubans. You should also be aware that they are working for management, and not in the interests of the owners. We can accomplish nothing because the remaining two (2) Board members, Gale Measel and Cy Holley, are in the minority. Currently:

1. The Board members are elected for life under our original Articles and By-Laws, currently in use.
2. Under these Articles and By-Laws, the only way to remove a Board member is for them to resign, or by resolution at a General Meeting of the Members, which is what an EOMM is.

Management has shown itself to be ineffective and incompetent. Their main concern seems to be themselves, not the owners nor the employees. Our current Board Majority, the three (3) Arubans, all have personal connections with Joy Viapree and Pearl Peters. Favoritism should not be allowed to be the order of the day at our resort.

Also, the current Board majority has done nothing to push the Government to approve our revised Articles and By-Laws which were submitted some time ago. In fact, they may be working against us by slowing down the process. We need a nine (9) member Board in order to have true majority. The 3 Arubans know they will lose their majority power once the revised Articles and By-Laws are approved.
